AudibleHQ Terms of Use

These Terms of Use (Terms) apply to your use of the AudibleDNA product portal (Portal). The Portal is operated by SGR Corporation Pty Ltd (ABN 39 118 869 962), trading as AudibleHQ (we, us, our).

By using the Portal, you agree to these Terms. If you do not agree, do not use the Portal.

1. The Portal

The Portal is provided to owners and authorised dealers of AudibleDNA-compatible audio products. It provides:

  • Device registration and monitoring
  • Firmware updates
  • Diagnostics and support
  • Account and access management

2. Your account

To use the Portal, you need an account. You must be at least 18 years old to create an account. You agree to:

  • Provide accurate information when creating your account
  • Keep your login credentials secure
  • Notify us promptly if you suspect unauthorised access to your account

You are responsible for all activity under your account. We may suspend or close your account if we reasonably believe it has been compromised or is being misused.

3. Acceptable use

You agree to use the Portal only for its intended purpose and in compliance with applicable laws. You must not:

  • Attempt to gain unauthorised access to the Portal, other accounts, or devices not registered to you
  • Interfere with the operation of the Portal or other users' access to it
  • Reverse-engineer, decompile, or attempt to extract the source code of the Portal
  • Use the Portal to transmit malicious software or conduct any form of attack
  • Misrepresent your identity or provide false information
  • Use automated tools to access the Portal (scraping, bots) without our permission

4. Devices and firmware

Firmware updates are delivered through the Portal. By registering a device, you acknowledge that:

  • We may deliver firmware updates to your device automatically or at your direction
  • Firmware updates may change device functionality
  • You are responsible for maintaining network connectivity for your device to receive updates
  • We do not guarantee that firmware will be compatible with all third-party software or accessories

5. Intellectual property

The Portal and its content (including software, design, text, and graphics) are owned by or licensed to AudibleHQ and are protected by Australian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Portal for its intended purpose. This licence does not permit you to:

  • Copy, modify, or create derivative works from the Portal
  • Use the Portal or its content for purposes other than managing your devices
  • Remove any copyright or proprietary notices

6. Privacy

We handle your personal information in accordance with our Privacy Policy and the Australian Privacy Act 1988. By using the Portal, you acknowledge you have read the Privacy Policy.

7. Availability and support

We aim to keep the Portal available but do not guarantee uninterrupted access. The Portal may be unavailable from time to time for maintenance, updates, or reasons beyond our control.

We may modify, suspend, or discontinue any part of the Portal with reasonable notice where practicable.

8. Limitation of liability

To the maximum extent permitted by law:

  • The Portal is provided as is without warranties of any kind, except those that cannot be excluded under Australian Consumer Law
  • We are not liable for any indirect, incidental, or consequential loss arising from your use of the Portal
  • Our total liability for any claim related to the Portal is limited to AUD $100 or the fees you have paid us in the 12 months before the claim arose, whichever is greater

Nothing in these Terms excludes or limits any rights you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other consumer protection law that cannot be excluded by agreement.

9. Indemnity

You agree to indemnify us against any loss, damage, or expense (including reasonable legal costs) arising from:

  • Your breach of these Terms
  • Your misuse of the Portal
  • Any third-party claim arising from your breach of these Terms

10. Termination

Either party may terminate these Terms at any time. You may stop using the Portal and request account deletion. We may suspend or terminate your access if you breach these Terms.

On termination, your right to use the Portal ends. Termination does not affect the standalone operation of your products. Sections that by their nature should survive (including Limitation of Liability, Indemnity, and Governing Law) will continue to apply.

11. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Portal. If you do not agree with the changes, you may close your account before they take effect. Your continued use after notification constitutes acceptance of the updated Terms.

12. Governing law and disputes

These Terms are governed by the laws of the State of Victoria, Australia. The courts of Victoria have non-exclusive jurisdiction over any dispute arising from these Terms.

Before commencing legal proceedings, you agree to attempt to resolve any dispute by contacting us directly at legal@audiblehq.com.

13. General

  • Severability — if any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force
  • Waiver — our failure to enforce any provision does not waive our right to enforce it later
  • Entire agreement — these Terms, together with our Privacy Policy, constitute the entire agreement between you and AudibleHQ regarding the Portal
  • Assignment — you may not assign your rights under these Terms without our consent; we may assign ours in connection with a merger, acquisition, or sale of substantially all our assets
